Terms of Service

These Terms of Service ("Terms") govern your use of Nitrakit, provided by VantageBit Pvt. Ltd., a company registered in Nepal ("we", "us"). Nitrakit includes the Nitrakit SDK and its packages, the developer portal at app.nitrakit.dev, the documentation at docs.nitrakit.dev, and this website (together, the "Service").

By creating an account, installing the SDK, or buying a plan, you agree to these Terms. If you accept them for a company, you confirm you're authorised to bind it, and "you" means that company.

1. The Service

Nitrakit is a video editing SDK: an editor and rendering engine that developers embed in their own iOS, Android, React Native and web apps. The portal is where you register your apps, get license keys and manage your plan.

2. Accounts

  • You need an account to use the portal. Keep your sign-in secure; you're responsible for activity under your account and your team.
  • Give us accurate information, and keep your contact email current: we use it for service and billing notices.
  • You must be at least 18, or the age of majority where you live.

3. The SDK license

Your use of the SDK is also governed by the Nitrakit SDK License. In short:

  • You may install and use the SDK free of charge to build, test and evaluate. Without a license key, exports are watermarked and limited.
  • To release an app with the SDK, you need a license key on an active plan, covering that app.
  • You may not redistribute the SDK on its own, or modify or reverse engineer it to remove those limits or the license check.

The SDK, the editor and the Service remain ours. You get a non-exclusive, non-transferable right to use them as these Terms and the SDK License allow, for as long as they allow it.

4. Plans and billing

  • Plans. Plans, prices and what each includes are shown on our website and in the portal. A plan covers the number of apps it states; some plans include limits, such as monthly editor users.
  • Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, invoices and sales tax are handled by Paddle under Paddle's buyer terms.
  • Renewal. Plans are subscriptions. They renew automatically at the end of each monthly or yearly period, at the price then in effect, until you cancel.
  • Price changes. We'll give you at least 30 days' notice by email before a price change applies to your plan. It takes effect from your next renewal after that notice.
  • Taxes. Prices are shown before tax; Paddle adds any applicable tax at checkout.
  • Failed payments. If a renewal payment fails, Paddle retries it. Your apps stay licensed while it does.

5. Cancellation and what happens to your apps

  • You can cancel at any time, in the portal (Billing → Manage billing) or by writing to us. Cancellation takes effect at the end of the period you've paid for; you won't be charged again.
  • When a plan ends, apps already released with your key keep working fully for a 30-day grace period. After that, the editor runs in evaluation mode (watermarked, limited exports) for a further 30 days, and then stops being available in those apps. Renewing restores them; your apps pick up the change on their own.
  • Refunds are covered by our Refund Policy.

6. Acceptable use

You may not:

  • use the Service to break the law or infringe anyone's rights;
  • share license keys with apps they don't cover, or misstate your usage to stay on a plan;
  • interfere with, overload or try to get unauthorised access to the Service or license servers;
  • resell or sublicense the SDK itself, or offer it as a standalone developer product.

Your app's users and the content they create are your responsibility. You must have the rights to any media you or your users edit, and your app must have its own terms and privacy policy.

7. Beta features

Features marked beta, preview or early access may change or stop, and may be less reliable. We offer them as they are.

8. Third-party services

The Service relies on third parties, including Paddle (payments), Cloudflare (hosting) and Zoho ZeptoMail (email). Third-party components inside the SDK keep their own licenses, listed in each package. We're not responsible for third-party services you choose to connect to your app.

9. Suspension and termination

We may suspend or end your access if you materially breach these Terms, if you don't pay, or if we must to comply with the law. Where we reasonably can, we'll tell you first and give you a chance to fix the problem. You can stop using the Service and delete your account at any time.

10. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the Service will be uninterrupted or error-free.

11. Limitation of liability

To the extent the law allows:

  • we aren't liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data;
  • our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.

Nothing in these Terms limits liability that can't be limited by law.

12. Changes to these Terms

We may update these Terms. For material changes, we'll give you at least 30 days' notice by email or in the portal. Continuing to use the Service after a change takes effect means you accept it.

13. Governing law

These Terms are governed by the laws of Nepal. The courts of Kathmandu, Nepal have jurisdiction over any dispute, except that if you're a consumer, you keep any protection the law of your country gives you that can't be excluded by agreement.
